Terms of Service

Welcome to Chemizon. These Terms of Service ("Terms") are a legally binding agreement between you and Chemizon ("we," "us," or "our") governing your access to and use of our website, platform, and related services (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws and regulations. If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

2. Accounts and Registration

To access most features of the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us immediately.

3. Payments and Fees

Certain features of the Service may require payment. Before any fees are charged, you will be given the opportunity to review and accept the applicable charges. All fees are non-refundable unless otherwise stated. We may change our fees at any time with reasonable advance notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

By providing a payment method, you authorise us to charge all applicable fees to that method. If a recurring payment is activated, you authorise us to charge on a periodic basis until cancelled. Cancellations may take up to 10 business days to take effect.

4. User Content

4.1 Your Content

The Service may allow you to upload, post, or publish content including product listings, documents, messages, reviews, images, and other materials ("User Content"). You retain ownership of your User Content.

4.2 Licence to Chemizon

By posting User Content, you grant Chemizon a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and distribute your User Content for the purpose of operating and improving the Service.

4.3 Licence to Other Users

By sharing User Content with other users, you grant those users a non-exclusive licence to access and use that content as permitted by the Service.

4.4 Your Warranties

By posting User Content, you represent and warrant that:

• You own or have all necessary rights and permissions to post the content and to grant the licences above.
• Your User Content does not infringe any third-party intellectual property, privacy, or publicity rights, and does not contain unlawful, defamatory, or otherwise objectionable material.

4.5 Content Moderation

We are not obligated to monitor User Content but reserve the right to remove, restrict, or edit any User Content at any time that we determine, in our sole discretion, violates these Terms or is otherwise harmful. We are not liable for any User Content posted by users.

5. AI-Powered Features

5.1 Overview

The Service includes AI-driven features such as semantic search, formulation assistance, and product description generation. By using these features, you agree to the additional conditions in this section.

5.2 Usage Restrictions

When using AI features, you agree not to:

• Attempt to reverse engineer, decompile, or extract the underlying models, algorithms, or source code.
• Use AI outputs to build competing products or train competing models.
• Circumvent rate limits, safety mitigations, or access controls.
• Represent AI-generated output as human-generated.
• Use automated scraping, data mining, or extraction tools without our express permission.
• Harass, impersonate, or cause harm to any person or entity using AI features.

5.3 Content and Accuracy

You acknowledge that:

• AI-generated output ("Output") may not always be accurate, complete, or appropriate. Do not rely solely on Output as a source of factual truth or professional advice.
• You are responsible for evaluating Output for accuracy and fitness for your use case before acting on it or sharing it.
• Output must not be used to make decisions with significant legal, financial, medical, employment, or other material impacts on individuals.
• Similar Output may be generated for other users. Our licence of Output to you does not extend to other users' output.
• We may use your inputs and outputs to maintain, improve, and develop the Service.

6. Prohibited Conduct

By using the Service, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Infringe or misappropriate any third-party intellectual property, privacy, or other proprietary rights.
• Post or distribute content that is defamatory, offensive, fraudulent, or otherwise inappropriate.
• Interfere with the security, integrity, or performance of the Service, including uploading malware or attempting to gain unauthorised access.
• Impersonate any person or entity or falsely represent your affiliation.
• Collect personal information about other users without their consent.
• Use any scraping, data mining, or automated extraction tools to access or collect data from the Service.
• Sell, transfer, or sublicense your access to the Service to any third party.

7. Third-Party Services and Links

The Service may include integrations with or links to third-party websites and services. We are not responsible for the content, practices, or policies of any third party. Your use of third-party services is at your own risk and subject to those third parties' own terms and privacy policies.

8. Intellectual Property

The Service, including its design, software, graphics, data, and all other content provided by Chemizon ("Materials"), is owned by Chemizon or its licensors and is protected by applicable intellectual property laws. You may not use, copy, reproduce, distribute, or create derivative works from any Materials without our express written permission. All rights not expressly granted are reserved.

9. Copyright Complaints

If you believe that content on the Service infringes your copyright, please contact us with the following information: (a) a description of the copyrighted work you claim has been infringed; (b) a description of the infringing material and its location on the Service; (c) your contact details; (d) a statement of good faith belief that the use is unauthorised; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorised to act on their behalf.

We will promptly terminate the accounts of users who are repeat infringers.

10. Feedback

If you submit suggestions, ideas, or feedback about the Service ("Feedback"), you grant Chemizon an unrestricted, perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose, including improving the Service and developing new products, without any obligation to compensate you.

11. Termination

You may close your account at any time by contacting us. You remain responsible for any outstanding obligations incurred prior to termination. We may suspend or terminate your account at any time, with or without notice, if you violate these Terms or for any other reason at our sole discretion. We also reserve the right to modify, suspend, or discontinue the Service at any time without liability.

12. Indemnification

You agree to defend, indemnify, and hold harmless Chemizon and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your User Content; or (d) your violation of any third-party rights.

13. Disclaimers

THE SERVICE AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

Some jurisdictions do not permit the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHEMIZON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID TO CHEMIZON IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) £100 (OR LOCAL CURRENCY EQUIVALENT).

Some jurisdictions do not allow limitations on liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

15. Electronic Communications

By using the Service, you consent to receiving electronic communications from us, including emails and in-platform notifications. You agree that such communications satisfy any legal requirement that communications be in writing.

16. Modifications to These Terms

We reserve the right to update these Terms at any time. For material changes, we will provide reasonable advance notice via email or an in-platform notification. Your continued use of the Service after any change constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the Service and close your account.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be submitted to binding arbitration or, where arbitration is not available or enforceable, to the exclusive jurisdiction of the competent courts. We encourage you to contact us first to resolve any dispute informally before initiating formal proceedings.

For European users, nothing in these Terms affects your statutory rights or your right to bring a claim before your local courts or competent regulatory authority.

18. Dispute Resolution

In the interest of resolving disputes quickly and cost-effectively, you and Chemizon agree to first attempt to resolve any dispute informally by contacting us with a written description of the dispute and the relief sought. If the dispute is not resolved within 30 days, either party may escalate through the formal process described above.

No class actions. Where permitted by law, you and Chemizon agree that any claims will be brought only on an individual basis and not as part of any class or representative action.

19. General Provisions

• Entire agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Chemizon regarding the Service.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment. You may not assign these Terms or any rights under them without our prior written consent. We may assign our rights and obligations at any time.
• Survival. Provisions that by their nature should survive termination (including intellectual property, indemnity, disclaimers, and limitation of liability) will survive termination of these Terms.
